Professional digital services, billing and responsibility boundaries.
1. Platform scope
ECU Calibronix is a professional automotive digital platform that provides diagnostic support, electronic repair assistance, ECU file analysis, calibration support, wiring and technical references, remote technical review, desktop/API workflows, digital tools, and related digital products.
2. Eligibility and professional capacity
The services are available only to users aged 18 or over who act in a professional, business, workshop, technician, training, research, motorsport, off-road, or other legally permitted technical capacity. The platform is not intended for unlawful or unsafe consumer use.
3. Intended professional use
All services, files, tools, reports, documentation, technical references, and digital products are intended for professional, diagnostic, repair, research, calibration-support, training, motorsport, off-road, and legally permitted use only.
4. User responsibility
The user is solely responsible for how any service, tool, file, information, output, or digital product is used, including the vehicle selected, the ECU selected, the file submitted, the work performed, local legal compliance, inspection requirements, workshop safety, and professional verification before use.
5. Misuse and incorrect application
ECU Calibronix is not responsible for misuse, illegal use, incorrect application, unsafe repairs, wrong ECU or file selection, third-party modifications, prohibited activity, emissions or inspection violations, or damage or loss resulting from actions taken outside the intended technical and professional scope of the platform.
6. Digital delivery and tokens
Subscriptions, tokens, generated outputs, reports, downloadable files, desktop/API access, and completed support work are digital services. Once a token is consumed, a file is processed, an output is generated, a downloadable product is delivered, or support work is completed, that part of the service may be considered delivered.
Tokens are digital service credit usable only within the platform. Current paid purchase options are a fixed 20 Token Pack and a Custom Top-Up from 21 to 500 tokens, with prices verified server-side at checkout. Tokens are not money, cryptocurrency, a bank balance, a deposit, or a stored-value payment instrument. Tokens are non-transferable and have no cash value. Paid token purchases and paid-token use require an active paid subscription; separately granted promotional tokens may be usable during an eligible Free Evaluation or other promotional access.
When a paid subscription expires, remaining tokens are preserved in the database but become temporarily unusable. During the configured grace period, renewing reactivates the protected remaining balance without a token recovery fee and extends its expiry to the renewed subscription expiry. After grace, old remaining tokens stay inactive unless the customer selects the priced Restore Tokens option. Restoration reactivates the same remaining TokenPurchase balance; it does not create or duplicate tokens.
7. Free Evaluation and promotional access
ECU Calibronix may offer an Admin-controlled Free Evaluation campaign to eligible new, verified Free accounts. Campaign availability, duration, start/end dates, daily and total usage limits, and included modules may change for future users. Unless stated otherwise, an automatic evaluation begins on first eligible use rather than account registration. Turning a campaign off does not by itself cancel an evaluation that was already activated.
Automatic promotional access is normally limited to one evaluation per eligible account and device. Device, account, verification, usage and anti-abuse controls may be used to prevent repeated promotional access. Admin may manually grant, extend or revoke evaluation access where appropriate.
Welcome or promotional tokens are free promotional service credits stored separately from paid TokenPurchases. Their amount and validity are Admin-configurable, they may expire, and they have no cash value. Promotional tokens are consumed before paid tokens when usable, are not refundable, are not included in paid-token recovery or Grace restoration, and do not create a paid purchase or invoice. Admin may grant or revoke promotional token batches.
When an evaluation user purchases a paid Monthly or Yearly subscription, the evaluation is marked converted and normal paid subscription rules apply. Any still-valid promotional token balance remains promotional and keeps its own expiry; it is never converted into paid or recoverable tokens.
8. Subscription terms, renewal, grace and recovery
The Monthly plan keeps the name Monthly and may be purchased for a prepaid term from 1 to 12 months. A one-month term receives no Multi-Month Discount. Terms from 2 to 12 months receive the current Admin-configured Multi-Month Discount percentage. The Yearly plan uses its own Admin-configured Yearly Base Price and independent Yearly Discount percentage.
If a paid subscription is renewed or extended while still active, the purchased term is added from the existing ExpiryDate, preserving continuity. When the subscription expires, the configured Grace Period begins (currently managed by Admin and normally 7 days). Paid services and token usage are unavailable during Grace, but remaining tokens are preserved. Renewal during Grace is calculated from the old ExpiryDate and reactivates the protected remaining token balance without a recovery fee.
After Grace ends, renewal starts a new term from the verified payment time. The customer may Renew Normally, leaving old expired tokens inactive, or choose Renew & Restore Tokens. Restore pricing equals the remaining recoverable token count multiplied by the current Admin-configured Token Recovery Price per token, added to the subscription total. The server displays subscription price, discounts, savings, recovery rate/fee where applicable, and Final Total before Stripe Checkout.
A customer who has ever held a paid Monthly or Yearly subscription is treated as a renewing subscriber even after expiry; subscription purchase actions are shown as Renew/Extend rather than a new-customer Buy action.
9. Payments
Payments are processed only by Stripe on the platform. ECU Calibronix does not store full card numbers or card security codes. The browser does not set the trusted final price. Every payment is verified server-side against the immutable checkout quote, account, amount, currency, plan/term, renewal state/mode and transaction status before subscription access, token purchases, or token restoration are applied.
10. Refund policy reference
Refunds are reviewed under the Refund Policy. Approved subscription refunds may be limited to the unused remaining period on a pro-rata basis. Consumed tokens, delivered digital products, completed outputs, completed support work, processing fees, and issues caused by user misuse may be non-refundable.
11. Software licence and intellectual property
The desktop application, API, website, platform workflows, generated logic, databases, documentation, visual content, reports, and protected service logic are licensed, not sold. Users receive a limited, revocable, non-exclusive, non-transferable right to use the platform under these Terms.
Users may not redistribute the application, resell access, share accounts or credentials, bypass authentication, token, HWID, service or usage controls, attack or overload the API, scrape or extract protected databases, reverse-engineer protected service logic, or attempt to copy internal platform methods. All platform software, databases, documentation, service logic, and content remain the property of ECU Calibronix LLC or its licensors.
12. Support scope
Support is provided within the limits of the services, tools, documentation, products, and workflows available on the platform. Support does not guarantee a specific repair result, vehicle compatibility, regulatory approval, emissions or inspection acceptance, or results outside the supported technical scope.
13. Limitation of liability
To the maximum extent permitted by law, the total aggregate liability of ECU Calibronix LLC arising from or relating to the services shall not exceed the amount paid by the user to ECU Calibronix LLC in the three (3) months preceding the event giving rise to the claim.
ECU Calibronix LLC shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, loss of profits, loss of business, loss of data, loss of goodwill, vehicle downtime, towing, recovery, diagnostics, re-flashing, workshop labor, replacement parts, ECU replacement costs, third-party claims, or regulatory/inspection consequences.
14. No warranties
Services, files, software, digital products, reports, technical references, platform outputs, and support are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, error-free operation, vehicle compatibility, or regulatory acceptance.
15. Indemnification
Users agree to indemnify and hold harmless ECU Calibronix LLC, its owners, operators, employees, contractors, and service providers against any claim, loss, liability, damage, cost, or expense arising from the user's use of the services, breach of these Terms, misuse of digital products, infringement of rights, or violation of any applicable law, vehicle regulation, inspection rule, or professional obligation.
16. Suspension and termination
Accounts, subscriptions, tokens, desktop/API access, or services may be limited, suspended, refused, or terminated for breach of these Terms, violation of the Acceptable Use Policy, fraudulent activity, chargeback abuse, credential sharing, payment disputes, API abuse, attempts to bypass platform controls, unlawful use, or unsafe requests. Users may close their account at any time.
17. Governing law and jurisdiction
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in Wyoming, except where mandatory law requires a different venue or consumer protection rule.
18. Changes and effective date
These Terms may be updated as the platform, services, compliance requirements, payment workflows, and digital products evolve. Material changes may be notified by email or in-platform notice at least 14 days before taking effect where practical.

19. Continuous development
The platform is under continuous technical development. Features, supported ECUs, digital products, tools, documentation, pricing, tokens, and services may be added, updated, changed, limited, or removed as part of ongoing improvement, testing, compliance review, and service evolution.
